Partner Agreement

Terms and conditions governing the relationship between Cube Master and its partners

Introduction & Definitions

This Agreement ("Agreement") is entered into between Cube Master ("Company") and the partner ("Partner" or "You") who registers in the Cube Master Partners Program ("Program"). By registering, you agree to be bound by all terms and conditions herein.

  • "Company": Refers to Cube Master, operator of the cm.sa platform.
  • "Partner": The individual or entity registered in the Program.
  • "Commission": The amount payable to the Partner for each qualifying deal.
  • "Qualifying Deal": Any completed sale approved by the Company.
  • "Level": The tier assigned to the Partner based on performance.

Eligibility & Registration

  • Partners must be at least 18 years of age.
  • Accurate and truthful information must be provided during registration, including identity and banking details.
  • The Company reserves the right to reject any registration without providing reasons.
  • Accounts are activated after the Company's review and verification of submitted information.
  • Partners must promptly update their information if any changes occur.

Payment & Financial Settlement

  • Commissions are paid monthly via bank transfer to the registered account.
  • The IBAN account must be in the registered Partner's name.
  • The Company may deduct any outstanding amounts or compensations from commissions.
  • If a deal is returned or cancelled, the corresponding commission will be clawed back.
  • The Partner is responsible for any taxes or fees applicable to their earnings.

Intellectual Property

  • All trademarks, logos, and content belonging to Cube Master are the exclusive property of the Company.
  • Partners may only use approved marketing materials in the manner specified by the Company.
  • Modification or reproduction of any materials without prior written consent is prohibited.

Partner Obligations & Code of Conduct

  • Maintain integrity and transparency in all dealings.
  • Do not make false or misleading promises to clients.
  • Do not engage in fraudulent or illegal activities.
  • Do not defame the Company, its products, or its competitors.
  • Comply with all applicable laws and regulations of the Kingdom of Saudi Arabia.
  • Do not directly compete with the Company during the partnership period.

Conflict of Interest

  • Partners must disclose any potential conflicts of interest.
  • Partners may not work with direct competitors without notifying the Company and obtaining written consent.
  • Partners may not use Company information for personal gain outside the Program scope.
  • The Company may immediately terminate the partnership upon discovery of undisclosed conflicts of interest.

Liability & Limitation

  • The Company is not liable for any indirect or consequential losses.
  • The Company's maximum liability shall not exceed the total commissions paid to the Partner in the last 12 months.
  • The Partner bears full responsibility for their actions and client interactions.
  • The Partner is an independent contractor, not an employee or agent of the Company.

Termination & Suspension

  • Either party may terminate this Agreement with 30 days' written notice.
  • The Company may terminate immediately if the Partner breaches any material term.
  • Upon termination, earned commissions for approved deals up to the termination date will be paid.
  • The Partner must return or destroy all confidential materials upon termination.
  • The Company may temporarily suspend the account during investigation of any violation.

Data Protection & Privacy

  • The Company commits to protecting the Partner's personal data in accordance with the Saudi Arabia Personal Data Protection Law.
  • Data is used solely for Program administration and communication purposes.
  • Data will not be shared with third parties without the Partner's consent, unless required by law.

Dispute Resolution

  • Any dispute shall first be resolved amicably through direct negotiation within 30 days.
  • If amicable resolution fails, the dispute shall be referred to arbitration under Saudi Arbitration Law.
  • The seat of arbitration shall be Riyadh, Kingdom of Saudi Arabia.
  • This Agreement is governed by the laws of the Kingdom of Saudi Arabia.

General Provisions

  • This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements.
  • The Company may amend this Agreement with at least 30 days' notice before changes take effect.
  • Continued participation in the Program after amendments constitutes acceptance of the modified terms.
  • If any provision is found invalid, the remaining provisions shall remain in full force and effect.
  • The Partner may not assign their rights under this Agreement without the Company's written consent.

Commission Structure & Levels

Commissions are calculated based on the following tier system:

  • Commissions apply only to deals approved by the Company.
  • The Company may adjust commission rates with at least 30 days' prior notice.
  • Levels are reviewed periodically (monthly or quarterly) per Company policy.

Confidentiality & Non-Disclosure (NDA)

The Partner agrees to maintain the confidentiality of all information accessed during the partnership, including but not limited to:

  • Commission rates and pricing structures.
  • Client data and commercial transactions.
  • Business strategies and marketing plans.
  • Technical and software information related to the platform.
  • Any information designated as confidential by the Company.

Confidentiality obligations survive for 3 years after termination of the partnership. Any breach exposes the Partner to legal liability and damages.
